The doctrine

Four principles. No exceptions.

WXZA does not acquire. It arranges. What follows is the whole of the strategy.

  1. 01

    Ownership is a liability

Equity invites lawsuits, taxes, and entanglement. Direction invites only obedience. WXZA takes the second.

An owner answers for everything an asset does. A director answers only for what it decides. We keep the decision and leave the answering to the deed.

  2. 02

    Control without capital

Veto rights, golden shares, and board majorities are cheaper than shares — and harder to dilute.

A share is a claim on value. A right is a claim on outcome. Capital buys the first; drafting buys the second.

  3. 03

    Never on the deed

Every warehouse, patent, and payroll sits with someone else. The exposure is never ours.

The balance sheet stays empty by design. What cannot be seized, encumbered, or written down cannot be used against us.

  4. 04

    Everything is reversible

Because we own nothing, we can exit anything in one signature. Nobody can freeze what was never ours.

Every agreement is drafted with its own exit. Permanence is a cost we decline to carry.

Instruments

Governance rights
Board seats, observer seats, and information rights, negotiated in place of equity.
Vetoes and golden shares
Reserved matters held by a nominal instrument. It blocks what it does not approve.
Board majorities
Appointment rights that seat a majority without buying one.
Option structures
The right, never the obligation, to acquire. Held open. Rarely exercised.
Exclusive agreements
Licensing, offtake, distribution, and routing mandates that make a counterparty’s output ours to direct.

Every instrument is held by agreement, never by title.
